The Minister for Public Works, Mr. Jose Blanco, has announced a new management model for Aena at the Spanish Parliament on last January 12th.
The minister has announced the guidelines for the new management model and the financial statements breakdown of each of the 47 airports in the network. The new management model is based on:
  • Air Traffic Control will be separated from the Airport Management business.
  • A parent company, Sociedad Estatal Aena Aeropuertos S.A., will be created to manage the airport business. Until 30% of the equity of this parent company is going to be allocated to private investors.
  • For the larger airports, to be defined..., subsidiary companies will be created to manage the business of such airports. Private equity, local and regional governments will be incorporated in this subsidiaries, but with the majority of the equity owned by the parent company (51%).
  • A qualified quorum is required for the resolutions of some matters in the board meetings of the subsidiaries, including budget aproval, master plan and airport aeroanutical fees proposal to parent company, etc.
  • Subsidiaries will pay a fee for the use of the airfield to the parent comapny. The airfield wil be owned and in the balance sheet of the parent company.

Before August 2010 a New Airport Modersisation System Law will be submitted to the Spanish Parliament.

The provisional figures for Aena in FY2009 are, net debt of 10.480€ millions and net losses 423€ millions.
